Custom Audiences Terms and Conditions

1. General
These Reddit Custom Audience Terms (the “CA Terms”) form a legally binding contract between you and Reddit and govern the access and use by you of the Reddit Custom Audiences service (“Reddit Custom Audiences”) and any products or services related to Reddit Custom Audiences on the Reddit Advertising Platform (the “Platform”). These CA Terms apply to you only if you use Reddit Custom Audiences.
These CA Terms are an addendum to the existing agreement for advertising services you have with Reddit, including any advertising insertion order (an “IO”) the Reddit Advertising Policy, the Reddit Ads API Terms, and the Reddit Ads Platform Terms (the “Reddit Ads Terms”). Your use of Reddit Custom Audiences will be governed by those Reddit Ads Terms, in addition to the Reddit Business Tool Terms, the Reddit Advertising Data Processing Agreement (“DPA”) and the Reddit Jurisdiction Specific Terms. Terms not defined herein are defined in the Reddit Ads Terms, the DPA, or the Reddit Jurisdiction Specific Terms.
You agree that the terms “you” and “your,” as used throughout these CA Terms, mean you and/or any advertiser on whose behalf you are using Reddit Custom Audiences (“Advertiser”). You represent and warrant that you have the necessary authority and permissions to bind yourself or the Advertiser (as applicable) to these CA Terms, and your agreement to these CA Terms will be treated as your, or to the extent applicable, Advertiser’s, binding agreement to these CA Terms.
2. Reddit Custom Audiences
Reddit Custom Audiences allows you to send data (“Identifier Data”), including email addresses and mobile IDs, to Reddit to create targeting segments based on a match of the Identifier Data with users of the Platform (each user, a “User,” and each targeting segment, a “Custom Audience Segment”). Reddit may use Custom Audience Segments to provide you with advertising services, including to target Ads on your behalf. Except as required to comply with applicable federal, state, and local laws, statutes, ordinances, rules, public order rules, and regulations of any jurisdiction including without limitation Data Protection Laws (as defined in the DPA) (collectively, “Applicable Law”), or unless you have provided your prior written consent, Reddit (a) will not use Identifier Data or Custom Audience Segments for the benefit of any other advertiser; (b) will not share Identifier Data with third parties (other than service providers necessary to perform the match process); and (c) will delete unmatched Identifier Data after the match process is complete. Reddit may modify, suspend, terminate access to, or discontinue the availability of Reddit Custom Audiences and any Custom Audience Segments at any time in its sole discretion. Reddit and its service providers will maintain the confidentiality and security of Identifier Data by maintaining safeguards that are designed to (a) protect the security and integrity of Identifier Data while it is within their systems; and (b) guard against the accidental or unauthorized access, use, alteration, or disclosure of Identifier Data within their systems, as further set forth in the Reddit Ads Data Security Measures. Reddit will promptly notify you of any unauthorized access or acquisition of Identifier Data by any third party that may become known to Reddit or its service providers as set forth in the DPA.
3. Access
You may not make Reddit Custom Audiences or Custom Audience Segments available to any third party except the Advertiser (to the extent applicable). Other than as provided in these CA Terms or with Reddit’s prior written consent and subject to your continued compliance with these CA Terms, you may use data Reddit makes available to you in connection with Reddit Custom Audiences (“Available Data”) only for your internal use to manage Advertiser’s use of the Platform by creating Custom Audience Segments; and you agree you will not (a) publish such data; (b) use such data to create profiles of any Users or to re-identify or otherwise reverse engineer the Available Data or to derive personal information from, or merge personal information with, any non-personal data made available by Reddit; (c) use such data for re-engaging any Users in any manner; or (d) sell, rent, transfer, or provide access to such data to any affiliate, ad network, ad exchange, advertising broker, other advertising service or other third party. Your access to and use of Available Data is in the form of a limited, non-transferable, non-sublicensable, and revocable license.
All marketing communications distributed to Users in connection with use of the Available Data will not reference any selection criteria or presumed knowledge concerning the User or the intended recipient (for example: a marketing communication stating “Because you’re pregnant, you might like…” would not be appropriate).
You will not use Available Data for any ads that violate Reddit’s Advertising Policy, including without limitation, Reddit’s Targeting Guidelines. In addition, you may not use Available Data for any ads for (a) adult entertainment, i.e., pornography, (b) firearms, (c) illegal gambling, or (d) any other product or service that is illegal in the country or locality in which it is sent or received. Further, you will not use Available Data (a) to discriminate on the basis of race, ethnicity, gender, religious or philosophical beliefs, political opinions, sexual orientation, sex life, health data, genetic or biometric data, trade union membership, or otherwise in violation of Applicable Law, or (b) for the purposes of (i) employment eligibility, (ii) credit eligibility, (iii) health care eligibility, or (iv) insurance eligibility underwriting and pricing.
You agree to protect any data and information made available by Reddit under these CA Terms, including without limitation Available Data, from unauthorized access, loss and misuse, including the encryption of stored information behind a secured server network and organizational, contractual, technological and managerial safeguards. You will immediately notify Reddit of any unauthorized access or acquisition of Available Data by any person or entity through you that may become known to you, and reasonably cooperate (at your own expense) with any investigations regarding any such data breach.
4. Data Processing Terms
To the extent the Identifier Data contains Personal Data that is subject to State Privacy Laws as set forth in Section 1(c) of the Jurisdiction Specific Terms, you are either (i) the “Controller” or “Business” (as such terms are defined under State Privacy Laws) in respect of such Personal Data or (ii) a Processor acting on behalf of an advertiser who is a “Controller” or “Business,” and you instruct Reddit to Process such Personal Data on your behalf as your Processor (or sub-processor, as appropriate) pursuant to these CA Terms, the DPA, and the Jurisdiction Specific Terms, provided, however, that Reddit will act as a “Third Party” (as such term is defined under the CCPA) with respect to any Personal Data subject to the CCPA and Reddit’s Third Party Terms (set out in Section 1(d) of the Jurisdiction Specific Terms) apply. You are solely liable for your compliance with each of the State Privacy Laws in your use of Reddit Custom Audiences.
5. Representations and Warranties
In addition to your representations and warranties under the other agreements between you and Reddit, you represent and warrant that (a) you will comply with Applicable Law in your performance of these CA Terms and use of Reddit Custom Audiences; (b) you have secured, and will maintain, all necessary rights, licenses, and consents from all data subjects whose data will be included in the Identifier Data (each, a “Data Subject”); (c) the Identifier Data will not contain any sensitive data or special categories of data (as defined by Applicable Law), including without limitation, any information that is based on or includes (i) an alleged or actual commission of a crime; (ii) health, genetic, or biometric data; (iii) information about individuals you have actual knowledge are under the age of 18; (iv) information about individuals collected from an online service directed to children or minors under 18; (v) financial status; (vi) racial or ethnic origin; (vii) religious or philisophical beliefs or preferences or political opinions; (viii) sex life or sexual orientation; or (ix) trade union membership; (d) the Identifier Data does not relate to data about any Data Subject who has elected to opt-out of having that data used for targeted advertising; (e) you will remove from any Custom Audience Segments any Personal Information of any consumers who have opted out of, or otherwise withdrawn their consent for, disclosures to Reddit or any targeted advertising; and (f) you will provide notice to each Data Subject through your or your agent’s privacy policy, and in compliance with the Applicable Law, that the Data Subject’s information collected by you or your agents may be shared with and used by third parties for the purposes specified under these CA Terms, including for marketing, ad targeting, measurement services, and other advertising purposes.
6. Indemnification
Subject to Section 7, each party agrees to defend, indemnify, and hold the other party and its officers, directors, and employees harmless, including costs and attorneys’ fees, from any claim or demand made by any third party due to or arising out of (a) a material breach of these CA Terms, or (b) violation of Applicable Law.
7. Limitation of Liability
EXCEPT FOR OBLIGATIONS UNDER SECTION 6 (INDEMNIFICATION), IN NO EVENT AND UNDER NO THEORY OF LIABILITY WILL EITHER PARTY BE LIABLE TO THE OTHER FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF USE, GOODWILL, OR OTHER INTANGIBLE LOSSES: (A) RESULTING FROM ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE REDDIT CUSTOM AUDIENCES; OR (B) RELATING TO THESE CA TERMS, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. EXCEPT FOR OBLIGATIONS UNDER SECTION 6 (INDEMNIFICATION), IN NO EVENT WILL THE AGGREGATE LIABILITY OF EITHER PARTY ARISING OUT OF OR RELATED TO THE CUSTOM AUDIENCE PRODUCT OR SERVICE OR THE CA TERMS EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR ANY AMOUNT PAID TO REDDIT IN THE PREVIOUS SIX (6) MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM.
NOTWITHSTANDING ANYTHING TO THE CONTRARY, EACH PARTY’S AGGREGATE LIABILITY UNDER SECTION 6 (INDEMNIFICATION) WILL NOT EXCEED THE AMOUNT PAID TO AND RECEIVED BY REDDIT FROM ADVERTISER IN THE PREVIOUS TWELVE (12) MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM.
THE LIMITATIONS OF THIS SECTION 7 WILL APPLY TO ANY THEORY OF LIABILITY, INCLUDING THOSE BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, EVEN IF THE PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF ANY SUCH DAMAGE, AND EVEN IF ANY REMEDY STATED IN THESE CA TERMS IS FOUND TO HAVE FAILED ITS ESSENTIAL PURPOSE. THE FOREGOING LIMITATION OF LIABILITY WILL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.
IF YOU AGREE TO TERMS AND CONDITIONS WITH ANY THIRD PARTY FOR SERVICES USED IN CONJUNCTION WITH REDDIT CUSTOM AUDIENCES, YOUR USE OF SUCH SERVICES WILL BE SUBJECT TO THOSE TERMS AND CONDITIONS AND IS AT YOUR OWN RISK. REDDIT WILL NOT BE LIABLE FOR ANY DIRECT DAMAGES, NOR ANY OF THE OTHER DAMAGES OR LOSSES LISTED IN THIS SECTION 6, INCURRED BY YOU AS A RESULT OF YOUR USE OF SUCH THIRD-PARTY PRODUCTS OR SERVICES.
8. Entire Agreement; Conflicts; Survival
These CA Terms state the entire understanding and agreement between you and Reddit with respect to Reddit Custom Audiences and supersede all other agreements between you and Reddit regarding Reddit Custom Audiences. If there is a conflict between these CA Terms and any other agreement between you and Reddit, these CA Terms will govern with respect to the use of Reddit Custom Audiences.
These CA Terms will survive termination of any other agreements between you and Reddit.
