Reddit Advertising Services Agreement

This Reddit Advertising Services Agreement (“Agreement”) governs your access to and use of Reddit’s online advertising platform and related tools (the “Ads Platform”) and our advertising services, including any Supplemental Ads Products and Services (defined below) (collectively, the “Ads Services”). By accessing or using the Ads Platform or any Ads Services, you agree to be bound by this Agreement and are entering into a contractual relationship with Reddit. 

PLEASE CAREFULLY READ THIS AGREEMENT AND THE BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER IN SECTION 18 (ARBITRATION AND DISPUTE RESOLUTION). THIS AGREEMENT REQUIRES THE USE OF BINDING INDIVIDUAL ARBITRATION TO RESOLVE ANY DISPUTES RATHER THAN JURY TRIALS OR CLASS ACTIONS. IF YOU WISH TO OPT OUT OF EITHER OF THESE REQUIREMENTS, YOU MAY DO SO BY FOLLOWING THE INSTRUCTIONS IN SECTION 18 (ARBITRATION AND DISPUTE RESOLUTION) BELOW WITHIN 30 DAYS OF THE FIRST DATE ON WHICH YOU ACCEPTED ANY VERSION OF THIS AGREEMENT CONTAINING AN ARBITRATION REQUIREMENT. 

1. Agreement

When you use our Ads Services, you agree to this Agreement and our Policies (defined below). If you choose to access or use any Supplemental Ads Products and Services, then you also agree to be legally bound by any applicable Supplemental Ads Terms (defined below). References to “Ads Services Terms” means, collectively, this Agreement, our Policies, and any applicable Supplemental Ads Terms. 

“You” and “Your,” as used throughout the Ads Services Terms, as applicable, means: (i) an advertiser or a third party acting as principal for an advertiser (“Advertiser”); or (ii) any third party acting on an Advertiser’s behalf as an agent (“Agency”). If you are an Agency and you lack full authority or otherwise do not legally bind Advertiser to the Ads Services Terms, then you will be directly responsible for Advertiser’s obligations under the Ads Services Terms as if they were your own.

You and Reddit agree that these Ads Services Terms contain the entire agreement of the parties with respect to the Ads Services and supersede all previous communications, representations, understandings, and agreements, either oral or written, between the parties regarding the Ads Services. No additional, different or conflicting terms, provisions, or conditions in any separate written advertising agreement entered into by the parties (including any standard terms published by the Interactive Advertising Bureau) or provided with any insertion order, purchase order, acknowledgement, invoice, payment, or other documentation exchanged during the course of dealing between the parties will have any effect on the rights, duties, or obligations of the parties under, or otherwise modify, these Ads Services Terms. By entering into this Agreement, you agree that the Ads Services Terms and not the Reddit User Agreement will exclusively govern your use of the Ads Services. If there are inconsistencies or conflicts between the terms of this Agreement, the Supplemental Ads Terms, or the Policies and other documents attached to or incorporated by reference in this Agreement, the order of precedence is as follows: (i) the Supplemental Ads Terms; (ii) the terms contained in the body of this Agreement; and (iii) the terms of the Policies and other documents incorporated by reference in this Agreement.

2. Account

To use any Ads Services, you must create and maintain a Reddit advertising account (your “Ads Account”). You may authorize individuals to access and use your Ads Account. You are responsible for setting up, managing, and revoking access permissions to your Ads Account. You are responsible for all activity that occurs in your Ads Account, including the actions of each individual to whom you have given access to your Ads Account, and all usage of your Ads Account must comply with the Ads Services Terms.

To use or pay for Ads Services, you will also need to provide us with information about yourself and/or anyone on whose behalf you are acting. This information (collectively, “Your Information”) may include your entity name, name(s) of your authorized representative(s), email address(es), physical address(es), phone number(s), tax, government identification, Payment Method (defined below) information, and any other information about you requested by Reddit under the Ads Services Terms. 

We may use Your Information to: 

• Verify your identity and eligibility to use our Ads Services;
• Perform credit check(s) on you;
• Enable purchasing, billing, and payment processing;
• Detect fraud; 
• Comply with applicable law; and
• Use and share Your Information as described in the Reddit Privacy Policy.

You agree to provide Your Information to Reddit and to our Payment Partners (defined below), service providers, and sub-processors (including credit agencies) for these purposes. 

3. Ads Services

Reddit’s Ads Services allow you to advertise on properties owned and operated or otherwise controlled by Reddit, including www.reddit.com and the Reddit mobile applications (collectively, “Reddit Properties”) in accordance with the Ads Services Terms.

Your use of Reddit’s Ads Services (including your Ads and Ads Materials) is subject to our Advertising Policies and any other applicable terms and policies made available by Reddit (collectively, “Policies”), which you acknowledge Reddit may update at any time and for any reason with or without providing notice to you. Reddit may, in our sole discretion, reject or remove your Ads or Ads Materials from Reddit Properties (in whole or in part) at any time and for any reason.

Except as otherwise explicitly provided in the Ads Services Terms or as may be expressly permitted by applicable law, you will not, and will not permit or authorize third parties to: (i) rent, lease, or otherwise permit third parties to use the Ads Services; (ii) transmit any viruses or other harmful materials to the Ads Services; (iii) take any action that risks harm to others or to the security, availability, or integrity of the Ads Services; (iv) modify or create derivative works of the Ads Services or copy any element of the Ads Services; (v) use the Ads Services to develop a competitive service; or (vi) circumvent or disable any security or other technological features or measures of the Ads Services.

Reddit may provide you with account support and management related to Ads Services (e.g., a Reddit account representative may manage a campaign on your behalf in accordance with your instructions) (“Managed Services”). If you are using Managed Services: 

• You authorize your Reddit account representative to create, update, change, and modify your Ads Account and campaigns on your behalf through the Ads Platform; 
• You are responsible for monitoring your Ads Account (including all campaigns and modifications to them made by your Reddit account representative) and may view your Ads Account activity through the Ads Platform; 
• Your continued participation in any campaign after your Reddit account representative creates or makes modifications to it on your behalf will constitute your acceptance of the campaign and any applicable modifications; and
• Reddit will not be liable for any Managed Services provided in accordance with your instructions, specifications, campaign details, and approvals (including any updates, changes, or modifications to your instructions, specifications, campaign details, and approvals).

By using the Ads Services, you authorize Reddit to:

• Place your advertisements (your “Ads”)—including any artwork, copy, URLs (including any related landing pages or destination websites or applications), product catalogs, or other materials or content that are part of your advertisements (collectively, your “Ads Materials”)—on Reddit Properties; 
• Use your Ads and Ads Materials for internal purposes, to improve the Ads Services, Ads Platform, and Reddit Properties, and to market and promote the Ads Services, Ads Platform, Reddit Properties, or Reddit (e.g., highlighting the effectiveness of ads run on Reddit Properties); and
• Review your Ads and Ads Materials to ensure they comply with our Policies. 

You also grant Reddit a worldwide, non-exclusive, royalty-free, transferable, sub-licensable license to use, store, display, reproduce, copy, modify, and distribute your Ads and Ads Materials on Reddit Properties, including our Ads Platform, in order to provide Ads Services. 

You are solely responsible for:

• Your Ads and Ads Materials, as well as your products and services being advertised and any landing pages or destination websites or applications accessible via your Ads and Ads Materials;
• Any trafficking or targeting decisions made in connection with your Ads and Ads Materials or otherwise through your use of our Ads Services;
• The completeness and accuracy of all information included in your Ads and Ads Materials (including any accompanying claims made or disclaimers required under applicable laws, rules, or regulations or by industry standards);
• Complying, and ensuring that your Ads and Ads Materials (including your products and services being advertised and any landing pages or destination websites or applications accessible via your Ads and Ads Materials) comply, with all applicable laws, rules, regulations, and industry standards, as well as the Ads Services Terms and our Policies; 
• Reviewing and approving the creation of or any changes, modifications, or edits made to your campaign details, Ads, or Ads Materials through features of our Ads Services that help you create, change, modify, or edit your campaign details, Ads, and Ads Materials, which may be powered by emerging or artificial intelligence technology (e.g., artificial intelligence-powered trafficking or targeting suggestions or creative enhancements to your Ads and Ads Materials);
• Your instructions, specifications, campaign details, and approvals (including any updates, changes, or modifications to your instructions, specifications, campaign details, and approvals) you provide in connection with Managed Services or otherwise through the Ads Platform (including in connection with the use of any Supplemental Ads Products and Services); and
• Obtaining any consents, clearances, permissions, or licenses in connection with your Ads and Ads Materials.

4. Third-Party Platforms

Reddit may make available integrations through the Ads Services that enable you to import or export information to or from your account on a Third-Party Platform. A “Third-Party Platform” means any third-party platform, add-on, service, or product not provided by Reddit that you elect to integrate or enable for use with the Ads Services. Reddit may enable you to import or export such information, including your Ads or Ads Materials, by linking your Ads Account with an account on the Third-Party Platform. If you direct Reddit to transmit data to, or receive data from, a Third-Party Platform on your behalf then you authorize Reddit to collect, access, use, disclose, transfer, transmit, store, or otherwise process (“Process”) any such data or materials in connection with the applicable integration, in a manner consistent with the functionality of the Ads Services requested by you and the permissions granted to Reddit by the relevant integration (which Processing may include performing queries on the data held by the Third-Party Platform). Use of Third-Party Platforms is subject to your agreement with the relevant provider and not the Ads Services Terms. Reddit does not control and has no liability for any Third-Party Platform, including their security, functionality, operation, availability, or interoperability with the Ads Services or how the Third-Party Platforms use your data, materials, Ads, or Ads Materials. Reddit may suspend, terminate, or discontinue any integrations with a Third-Party Platform at any time.

5. Artificial Intelligence Technology

Certain features of the Ads Services depend upon the provision of your Ads and Ads Materials to, and receipt of responsive content, materials, and other output, including edited, or customized versions of your Ads and Ads Materials (“Generated Content”) from, large language models and other generative artificial intelligence models and tools (“AI Features”), including AI Features that incorporate tools operated by Reddit's service providers ("LLM Providers"). The LLM Providers that Reddit uses to provide the AI Features agree to not use your Ads or Ads Materials to train their language learning models. Reddit is not responsible for any output, content, or other materials generated or produced by AI Features, including the Generated Content. Generated Content is generated through machine learning processes and is not tested, verified, endorsed, or guaranteed to be accurate, complete, or current by Reddit. You should independently review and verify all Generated Content as to appropriateness for your campaigns, including before publishing or making any Generated Content publicly available. You acknowledge and agree that: (i) the AI Features may produce inaccurate, incomplete, misleading, or erroneous Generated Content; (ii) it is your sole responsibility to verify the accuracy of any information obtained from the AI Features; and (iii) you are responsible for your own reliance on the Generated Content.

6. Charges and Payments

Charges

You agree to pay all applicable taxes, fees, and charges that Reddit calculates for your use of our Ads Services (collectively, “Charges”). Charges: (i) are based on the campaign types, objectives, parameters, and other criteria and metrics configured for your campaign, order, or purchase through your Ads Account (“Rate”); and (ii) will be calculated based solely on Reddit’s measurements for the Ads Services.

Once your Ad is approved, Reddit will use commercially reasonable efforts to deliver your Ads when inventory on the Ads Platform becomes available that matches your campaign type, objectives, and parameters, but cannot guarantee your Ad will reach users based on your selected criteria, reach users that you intended when you selected the criteria, or otherwise deliver any specific result.

Reddit’s measurement of advertising and billing metrics will be considered the controlling measurement for billing purposes. Your Charges will be determined solely based on Reddit’s ad server and tracking mechanisms, which Reddit may modify from time to time. You agree that Reddit may use tracking mechanisms (e.g., pixels) to measure your Ads. 

Charges are exclusive of taxes. You agree to: (i) pay all applicable taxes, government charges and foreign exchange fees, including all federal, state, and local sales, use, gross receipts, value-added taxes (“VAT”), goods and services taxes, levies, and similar transaction taxes; and (ii) provide a valid VAT identification number or other tax identification number at Reddit’s request. You also agree that Reddit is not responsible for any foreign currency fluctuations relating to Charges under this Section 6 (Charges and Payments).

You may update, change, or otherwise modify your Ads campaigns by notifying Reddit via our Ads Platform or via your account representative if you are using Managed Services (each, a “Modification”). Any Modification to your Ad campaign may impact your applicable Rate and, thus, Charges. You may cancel your Ads campaigns at any time by notifying Reddit via our Ads Platform or via your account representative if you are using Managed Services (a “Cancellation”), unless: (i) your Ads campaign is a “Takeover” in which case Reddit requires 30-days’ prior written notice of any Cancellation; or (ii) expressly specified by Reddit otherwise. Any Modification or Cancellation of your Ad campaign may also take a period of time to take effect, and you are responsible for all Charges incurred to your Ads Account prior to the Modification or Cancellation (as applicable) being effective. 

Rates may vary depending on the Ads Services purchased through your Ads Account. The Rates for Supplemental Ad Products and Services and, thus, applicable Charges may differ from rates for other Ads Services.

Payments

You can use the Ads Platform to purchase or otherwise pay for Ads Services using your debit card, credit card, bank account, and other accepted payment methods (your “Payment Method”) in accordance with this Section 6 (Charges and Payments). Reddit accepts certain payment methods that may vary by country or by advertiser. We use third-party payment processors (e.g., Stripe) to process your Payment Method (our “Payment Partners”). If you purchase Ads Services via our Payment Partners, then that purchase may be further subject to the legal terms and privacy policies of the applicable Payment Partners. 

If you submit your Payment Method, you agree that:

• Your Payment Method is true and correct;
• You are authorized to use your Payment Method;
• You will pay for all Charges by the payment due date;
• You give us and our Payment Partners permission to charge you for Charges using your Payment Method;
• We may retain, use, and share your Payment Method with our Payment Partners in order to process Charges and your purchase of Ads Services (including as needed for an ongoing campaign); 
• We may retain, use, and update Your Information (including your Payment Method) to provide Ads Services to you in connection with subsequent campaigns, orders, and purchases submitted through your Ads Account or otherwise provide you with notices and disclosures relating to renewals, recurring charges, and changes affecting your campaigns, orders, or purchases; and
• You are responsible for ensuring Your Information (including your Payment Method) is up to date and accurate.

Reddit will periodically charge your Payment Method at the applicable Rate. Reddit may also charge your Payment Method for any fees and interest incurred from Payment Partners or banks due to processing transactions or for any failure of payments under this Section 6 (Charges and Payments). All amounts paid are non-refundable. Reddit or our Payment Partners may also run one or more payment authorization checks before your Payment Method is charged or after it is updated. 

You remain responsible for any uncollected amounts. If your Payment Method fails or an invoice becomes past due, Reddit may, at our discretion, take steps to collect past due amounts or terminate any current or future purchase of Ads Services. Reddit may also charge interest for any overdue amounts at the rate of the lesser of 1.5% per month or the lawful maximum. You agree to pay or otherwise reimburse us for all reasonable costs and expenses (including reasonable attorneys’ fees) incurred by Reddit in collecting any late payment of Charges. 

You are solely responsible for: (i) monitoring your Ads Account; (ii) promptly reviewing all billing statements for accuracy; and (iii) paying for all Ads delivered and all amounts billed to your Payment Method, whether or not authorized by you. 

Credit Lines and Prepaid Balances

Reddit may, in our sole discretion, offer a credit line to you in accordance with this Section 6 (Charges and Payments) (a “Credit Line”). 

To be eligible for a Credit Line, your Ads Account must be in good standing, and you must have completed a successful credit check. When you provide Your Information to us, you authorize Reddit to perform credit checks on you (including obtaining credit reports on you), and we use Your Information to determine your eligibility for a Credit Line.

If you are approved by Reddit for a Credit Line, you can use your Credit Line to purchase Ads Services. Your Credit Line will have a limit, which Reddit may, in our discretion, increase or decrease at any time. We are not obligated to deliver any Ads in excess of your credit limit, and we may perform an additional credit check on you before increasing your Credit Line. Reddit may extend, revise, or revoke your Credit Line or ability to purchase Ads Services at any time at our sole discretion.

If you use your Credit Line to purchase Ads Services, you will be invoiced monthly for all Charges and agree to pay all Charges within 30 days from the invoice date.

Reddit may, in our sole discretion, also offer you the option to pay Charges using a prepaid balance in accordance with this Section 6 (Charges and Payments) (a “Prepaid Balance”). Your Prepaid Balance will be funded using your Payment Method, and you can use your Prepaid Balance to purchase Ads Services. Your Prepaid Balance is non-refundable except where required by applicable law. If your Ads Account is terminated for any reason, any unused portion of your Prepaid Balance will not be returned or refunded to you, unless required by applicable law. 

After you add funds to your Prepaid Balance, Reddit will deduct Charges from your Prepaid Balance as you use Ads Services. Once your Prepaid Balance reaches zero, your campaign will stop running unless you: (i) add sufficient additional funds to your Prepaid Balance; or (ii) have another active Payment Method associated with your Ads Account, in which case your campaign will continue and Charges will accrue to that Payment Method.

You will be charged for all Ads Services purchased in excess of your Credit Line and Prepaid Balance, and will not be notified when your Credit Line or Prepaid Balance reaches zero. You are solely responsible for monitoring your Ads Account and your Credit Line or Prepaid Balance and for paying all Charges incurred for Ads delivered. You can suspend your campaign anytime before your Credit Line or Prepaid Balance is exhausted if you do not wish to incur any Charges. 

Ads Credits

Reddit may, in our sole discretion, offer codes, credits, coupons, or other forms of discounts (collectively, “Ads Credits”) in an amount provided by Reddit and in accordance with this Section 6 (Charges and Payments). These offers are void where prohibited by law.

You can only use Ads Credits if: 

• Your Ads Account is in good standing and you otherwise comply with the Ads Services Terms and our Policies;
• Your Ads and Ads Materials are not prohibited or restricted under our Advertising Policies, otherwise comply with our Policies, and are approved by Reddit; 
• You have a valid Payment Method on file and do not have any overdue payments; and
• You are located in a geographic location that is eligible for Ads Credits and are otherwise legally permitted to receive and use Ads Credits. 

Reddit, in its sole discretion, may exclude your Ads Account from Ads Credits, including if Reddit believes that you are attempting to claim multiple Ads Credits by opening multiple accounts. Ads Credits cannot be split across multiple accounts, are not transferable, and cannot be used in combination with any other coupon or promotional offer. Offers may be revoked at any time for any reason by Reddit.

Some offers may require you to reach a minimum amount of advertising spend and make successful payment to Reddit before Ads Credits are awarded. Details are provided in the offer you receive from Reddit (e.g., via marketing campaigns, in-product banners, or the promo input field on the billing page). Ads Credits will expire within 90 days from issuance unless otherwise stated in the offer to the fullest extent permitted under applicable law. 

You will be charged for all Ads Services purchased in excess of your Ads Credit balance, and will not be notified when your Ads Credit balance reaches zero. You are solely responsible for monitoring your Ads Account and Ads Credit balance and paying all Charges incurred for Ads delivered. You can suspend your campaign anytime before your Ads Credit balance is exhausted if you do not wish to incur any Charges. 

Ads Credits will be applied for future campaigns only, are not redeemable for cash or cash equivalent, and may not be used in combination with any other ad credit or promotional offer. You are responsible for the payment of any taxes or other fees incurred. Reddit is not responsible for any foreign currency fluctuations relating to Ads Credits or any award of Ads Credits made to you under this Section 6 (Charges and Payments).

If you use Ads Credits for a purchase of Ads Services on behalf of an Advertiser and if required under applicable law or agreement, you will ensure the Ads Credits are granted to Advertiser and you will disclose the Ads Credits to Advertiser. 

Disputes, Make-Goods, and Claim Period

Reddit cannot and does not guarantee any specific minimum level of delivery or specific results, reach, or other performance metrics when using the Ads Services. Make-goods, guaranteed delivery, and even delivery are not available, and Reddit may cease serving your Ads at any time and for any reason. 

• If your campaign type is an auction, Reddit will use commercially reasonable efforts to deliver your Ads according to your campaign objectives and parameters, but Reddit cannot guarantee your Ads will be delivered and is not obligated to make make-goods available to you. 
• If your campaign type is a takeover, Reddit will use commercially reasonable efforts to deliver your Ads according to your campaign objectives and parameters, but if Reddit fails to do so, your sole and exclusive remedy is to make a claim for Ads Credits within 30 days of the applicable credit card charge or invoice date (the “Claim Period”). 

You acknowledge that: (i) third parties may generate automated, invalid, or fraudulent impressions, clicks, leads, or other actions with respect to your Ads and Ads Materials for prohibited or improper purposes (collectively, “Unauthorized Activity”); (ii) technological issues (including errors, defects, or software bugs) may exist that could impact your Ads and Ads Materials (collectively, “Technological Issues”); (iii) Unauthorized Activity and Technological Issues may affect Charges you are charged; (iv) Reddit is not liable for any Unauthorized Activity and makes no guarantees that Ads Services are free from Technological Issues; and (v) Reddit may, but is not obligated to, notify you of Unauthorized Activity or Technological Issues. 

• If your campaign was affected by Unauthorized Activity, Technological Issues, or you otherwise wish to dispute any Charges for any other reason, then your sole and exclusive remedy is to make a claim for Ads Credits within the Claim Period.

You must notify Reddit in writing during the Claim Period of the Charges that you dispute and the basis for the dispute as part of your claim. Failure to do so will result in waiver of the dispute. All amounts not timely and appropriately disputed will be deemed final and not subject to further dispute. 

If Reddit confirms the accuracy of a claim raised during the Claim Period, then Reddit will not charge you for undelivered ads or, if you have already paid, will provide you with, in our discretion: (i) Ads Credits subject to the applicable terms of this Section 6 (Charges and Payments), and which are non-refundable, non-transferable and must be used by any specified use-by date; (ii) an extension of the term of the campaign; or (iii) placement of ads in a position Reddit deems comparable. 

To the fullest extent permitted by law: (i) you waive all claims unless your claim is made within the Claim Period; (ii) you agree that Reddit’s exclusive liability is, in our discretion, to issue Ads Credits; and (iii) any Ads Credits will be issued in Reddit’s sole, but reasonable, discretion and if issued, are non-refundable and non-transferable and must be used by the use-by date and prior to termination of the Ads Services Terms or your Ads Account.

Agency Liability

If you are using the Ads Services as an Agency on behalf of an Advertiser:

• Reddit may authorize sequential liability between you and Advertiser and hold you liable for Charges solely to the extent that you have received the proceeds from Advertiser for each purchase you make on behalf of that Advertiser.
• Advertiser agrees to remit all Charges to you within the time period described in this Section 6 (Charges and Payments), and you agree to make best efforts to collect and clear the Charges from Advertiser on a timely basis.
• For any sums not cleared from Advertiser to you, Reddit agrees to hold Advertiser solely liable, and, in the event that Reddit does not receive payment when due, Reddit may immediately seek payment directly from Advertiser, and Advertiser agrees to immediately remit the applicable Charges directly to Reddit. 
• At Reddit’s request, you must immediately provide Reddit with written confirmation of the relationship between you and Advertiser in a form agreed to by Reddit; this confirmation must verify (at minimum): (i) whether Advertiser has paid you the amount of the Charges in question; and (ii) that you are Advertiser’s agent and are authorized to act on Advertiser’s behalf in connection with the Ads Services, including the authority to bind Advertiser to these Ads Services Terms. In the event that Agency is unable to provide Reddit with this confirmation, or if applicable laws prohibit sequential liability, Agency will be directly responsible to pay for all Ads Services purchased through the Ads Platform or otherwise. 

In addition, if Ads Services were purchased using a Credit Line, then:

• If you are using the Ads Services as an agent on behalf of an Advertiser with an existing Credit Line and Reddit relies on the Advertiser’s Credit Line for Agency’s use of Ads Services, then Reddit will hold Agency liable for Charges only if Agency has received payment from the Advertiser. 
• If: (i) you are using the Ads Services as principal for an advertiser or as an agent on behalf of an Advertiser; (ii) you indicate that Reddit may rely on your credit to extend a Credit Line to you or the Advertiser; and (iii) Reddit extends a Credit Line to you or the Advertiser, then Reddit will hold you and the Advertiser jointly and severally liable for all Charges. 

Reddit reserves the right to seek payment directly from Advertiser in the event Agency does not pay outstanding Charges.

Disclaimer

Rates, prices, discounts, promotional codes, and other incentives may change for business or operational reasons from time to time without notice or liability to you and are provided at our sole discretion, and any failure to invoice you will not excuse or waive Reddit’s right to collect, and your obligation to pay, under this Section 6 (Charges and Payments).

To prevent financial loss to you or Reddit, or as a result of breach of the Ads Services Terms, Reddit reserves the right to, in our sole discretion:

• Suspend or cancel any Ads Services;
• Place a delay on any payment or otherwise limit use of your Payment Method or Credit Line to pay for Ads Services; 
• Suspend or remove your Ads Account; or
• Contact our Payment Partners, law enforcement, or affected third parties and share details of any of your payments for Ads Services.

7. Intellectual Property and Feedback

Nothing in the Ads Services Terms grants you a license to use Reddit’s trademarks, brand assets, business names and domain names, trade dress, goodwill, or any other intellectual property of Reddit, its affiliates, or licensors, in each case whether registered or unregistered (collectively, “Reddit IP”). Any use of Reddit IP is subject to Reddit’s sole prior approval and express authorization in writing. You may be required to sign a separate agreement prior to Reddit approving your use of any Reddit IP. Any approved use of the Reddit IP must comply with our Brand Guidelines and Trademark Use Policy.

Any ideas, suggestions, and feedback about Reddit, the Reddit IP, the Ads Platform, or our Ads Services that you provide to us are entirely voluntary, and you agree that Reddit may use such ideas, suggestions, and feedback on an unrestricted, non-confidential basis without compensation or obligation to you.

8. Editorial Adjacencies and Reddit User Content

You acknowledge that Reddit consists of sites called “subreddits” which primarily contain user-generated content posted to Reddit Properties (“Reddit User Content”). Reddit makes no commitments regarding editorial adjacency, content adjacency, or competitive separation. Unpaid moderators moderate Reddit User Content in subreddits pursuant to guidelines they establish. Reddit uses commercially reasonable efforts to moderate Reddit User Content under our Policies (including the Reddit Rules and the Reddit User Agreement), but we cannot guarantee that Ads and Ads Materials will not be displayed adjacent to Reddit User Content that violates our Policies. 

Reddit may permit you to use Reddit User Content in your Ads and Ads Materials (including via Supplemental Ads Products and Services) in accordance with the Ads Services Terms and our Policies. If you use Reddit User Content in your Ads and Ads Materials, you are solely responsible for:

• Selecting the Reddit User Content used in your Ads and Ads Materials, even if Reddit suggested Reddit User Content to you; 
• Obtaining express consent from any Reddit user who created Reddit User Content that you want to use in your Ads and Ads Materials, unless Reddit expressly agrees to obtain any applicable consents on your behalf directly; and
• Complying with all guidelines Reddit provides to you on use of Reddit User Content.

You do not obtain any ownership rights in Reddit User Content, and you are not permitted to use, store, display, reproduce, copy, modify, or distribute Reddit User Content for any purpose not expressly described in the Ads Services Terms. Reddit and its affiliates will not be responsible or liable for your selection or use of any Reddit User Content, including in connection with any claims or disputes arising out of such selection or use.

9. Campaign Metrics and Reddit Insights

Reddit will provide you, directly or through Third-Party Platforms, with information about your campaign (“Campaign Metrics”). Reddit may also provide you with brand, industry, or vertical insights based on Reddit community intelligence or other information (“Insights”) to help you understand the performance of your campaigns and optimize your use of the Ads Services.

Both Campaign Metrics and Insights are Reddit’s Confidential Information (defined below), and, unless Reddit expressly agrees otherwise in writing, you may solely use Campaign Metrics and Insights internally to inform, manage, or understand your campaigns delivered on the Ads Platform and inform your overall marketing strategy. Your access to and use of Campaign Metrics and Insights is in the form of a limited, non-transferable, non-sublicensable, and revocable license, subject to the terms of the Ads Services Terms. You must implement business processes designed to protect the confidentiality of Campaign Metrics and Insights and support your compliance with the restrictions on their use.

You will not (and will not permit anyone else to) do any of the following:

• Publish Campaign Metrics or Insights externally (including in your Ads or Ads Materials) or disclose them (or substantially similar copies or derivatives) to any third party (including any other Advertiser or Agency, affiliate, ad network, ad exchange, or ad broker), unless expressly approved by Reddit in writing;
• Use Campaign Metrics or Insights to create supplemental profiles of any Reddit user or to retarget or reengage any Reddit user;
• Make any attempt to reidentify any individual or unique device based on Campaign Metrics or Insights;
• Retain Campaign Metrics beyond the sooner of: (i) when you no longer have a legitimate business purpose to retain such Campaign Metrics; and (ii) 367 days from receipt; or
• Extract and store any Insights from the Ads Platform, unless expressly approved by Reddit in writing. 

If you are an Agency, you will only use or share Campaign Metrics or use Insights with or on behalf of the specific Advertiser to which such Campaign Metrics or Insights relate, and you may not use or share such Campaign Metrics or Insights with or on behalf of any other Advertiser without Reddit’s express written approval.

10. Beta Products and Services

Some features and tools of our Ads Services and Supplemental Ads Products and Services may be in beta mode (collectively, “Beta Products and Services”). If you choose to use any Beta Products and Services, then you understand and agree that: (i) in addition to any disclaimers in the Ads Services Terms and any applicable Supplemental Ads Terms, the Beta Products and Services are provided “AS IS,” “AS AVAILABLE,” and “WITH ALL FAULTS”; (ii) Reddit may change, withdraw, or terminate your use of any Beta Products and Services, or discontinue any Beta Products and Services (in whole or in part) at any time in its sole discretion and without liability; (iii) you will cooperate in evaluating the Beta Products and Services and report any errors, problems, or issues relating to, and otherwise provide feedback on the Beta Products and Services to Reddit, and Reddit is free to use any feedback you provide on an unrestricted, non-confidential basis without compensation to you; and (iv) your use of the Beta Products and Services may be subject to specific terms and policies, and your continued use of the Beta Products and Services indicates your acceptance of such terms and policies. 

11. Confidentiality

“Confidential Information” includes any information disclosed by a party to another party in writing that is marked as confidential at the time of disclosure, or that would normally be understood to be confidential given the nature of the information or the circumstances surrounding its disclosure, including the existence of, or information about Beta Products and Services or the performance or results of your campaigns. Each party will only use the other party’s Confidential Information to fulfill its obligations and exercise its rights under the Ads Services Terms. Neither party will disclose the other party’s Confidential Information to a third party other than: (i) as permitted in these Ads Services Terms, including under Sections 3 (Ads Services) and 4 (Third-Party Platforms) of this Agreement; (ii) to its affiliates, contractors, or agents on a “need to know” basis, where such affiliate, contractor, or agent has agreed in writing to confidentiality obligations at least as strict as those set out in the Ads Services Terms; (iii) in response to a valid order by a court or other governmental body, or as otherwise required by applicable law; or (iv) with the disclosing party’s consent. 

Confidential Information does not include any information which: (i) was previously known to the receiving party; (ii) was or becomes generally available to the public through no fault of the receiving party; (iii) was rightfully in the receiving party’s possession free of any obligation of confidentiality at, or prior to, the time it was communicated to the receiving party; or (iv) was developed by the receiving party without reference to any Confidential Information. 

If you are an Agency, you agree that Reddit may share information about your use of the Ads Services on behalf of an Advertiser with that Advertiser. 

12. Representations and Warranties

You represent, warrant, and covenant to Reddit that: 

• You have the full power and authority to accept the Ads Services Terms; 
• You will comply with all applicable law and the Ads Services Terms;
• Neither you nor any party who you are acting on behalf of are subject to any trade sanctions, embargoes, export restrictions, or otherwise designated on any list of prohibited or restricted parties, and your use of the Ads Platform and Ads Services will not cause Reddit to violate any applicable sanctions program or related laws; and
• All factual information provided by you in your Ads Account, on the Ads Platform, and otherwise through the Ads Services is true and accurate in all material respects, and that you will promptly update this information if it changes.

If you are an Advertiser, you further represent, warrant, and covenant to Reddit that: 

• You have all necessary rights to grant Reddit any necessary licenses and clearances to use your Ads and Ads Materials as contemplated by the Ads Services Terms, including the license to your Ads and Ads Materials granted to Reddit under the Ads Services Terms and the consent of any third party appearing in, named, or identified, or whose intellectual property appears or is otherwise incorporated in, your Ads and Ads Materials; 
• Your Ads and Ads Materials and Reddit’s use of your Ads and Ads Materials under the Ads Services Terms will not infringe any copyright, trademark, right of privacy, right of publicity or personality, or any other third-party intellectual property or proprietary right;
• Your Ads and Ads Materials will not violate any applicable law, regulation or code of practice or other applicable industry standards;
• Your Ads and Ads Materials will comply with our Policies; 
• Your Ads and Ads Materials and your use of the Ads Platform and Ads Services will not be disparaging or defamatory to Reddit; 
• Your Ads and Ads Materials do not contain and you will not use the Ads Services to distribute any viruses, spyware, malware, or other malicious or destructive code on the Ads Platform or Reddit Properties; and
• You will not, and will not authorize any third party to, generate automated, invalid, or fraudulent impressions, clicks, leads, or other actions, or extract advertising or performance-related data from the Ads Platform, Reddit Properties, or any Ads Services without Reddit’s prior written authorization.

13. Disclaimer

ALL ASPECTS OF THE ADS PLATFORM, ADS SERVICES, AND ANY OTHER REDDIT PRODUCTS, DELIVERABLES, SERVICES, SOFTWARE, INFORMATION, AND OTHER TOOLS OR DELIVERABLES MADE AVAILABLE UNDER THE ADS SERVICES TERMS AND THEIR PERFORMANCE ARE PROVIDED “AS IS,” “AS AVAILABLE”, AND WITH ALL FAULTS. REDDIT DOES NOT WARRANT THAT THE ADS PLATFORM, ADS SERVICES, AI FEATURES, AND ANY OTHER REDDIT PRODUCTS, SERVICES, SOFTWARE, AND OTHER TOOLS MADE AVAILABLE UNDER THE ADS SERVICES TERMS WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE, UNINTERRUPTED, DEFECT FREE, ERROR FREE, OR BUG FREE. EXCEPT AS EXPRESSLY STATED IN THE ADS SERVICES TERMS, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (I) NEITHER REDDIT, NOR ITS AFFILIATES, MAKE ANY WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AVAILABILITY AND NON-INFRINGEMENT; AND (II) NONE OF REDDIT, NOR ITS AFFILIATES, MAKE ANY GUARANTEE IN CONNECTION WITH ANY USE OF THE ADS PLATFORM, ADS SERVICES, AI FEATURES, ADS (INCLUDING ADS MATERIALS), OR ANY RESULTS WHICH MAY BE OBTAINED FROM ANY OF THE FOREGOING OR ANY OTHER REDDIT PRODUCTS, SERVICES, SOFTWARE, INFORMATION, AND OTHER TOOLS MADE AVAILABLE UNDER THE ADS SERVICES TERMS (INCLUDING ANY APPLICABLE SUPPLEMENTAL ADS TERMS).

14. Indemnification

Advertiser will defend, indemnify, and hold harmless Reddit and its affiliates, and its and their respective representatives from damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) (collectively, “Losses”) arising from or related to any third-party allegation, claim, judgment, or proceeding (collectively, “Claims”) arising from or relating to Advertiser’s: (i) use of any Ads Services (including any Supplemental Ads Products and Services); (ii) Ads, Ads Materials, or any data or information Advertiser provides to Reddit or enables Reddit to access or use; (iii) products or services being advertised using any Ads Services (including any Supplemental Ads Products and Services); (iv) targeting or trafficking decisions of any Ads or Ads Materials; or (v) breach of the Ads Services Terms or applicable law. 

Agency will defend, indemnify, and hold harmless Reddit and its affiliates, and its and their respective representatives from Losses arising from or related to any Claim arising from or relating to Agency’s: (i) lack of authority to legally bind or failure to legally bind Advertiser to the Ads Services Terms; (ii) use of any Ads Services (including any Supplemental Ads Products and Services) on behalf of Advertiser beyond the scope of its authority; or (iii) breach of any representation or warranty applicable to Agency in Section 12 (Representations and Warranties) of this Agreement or of any other obligation applicable to Agency under the Ads Services Terms.

Reddit reserves the right to control the defense of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of the Claims.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (I) IN NO EVENT WILL REDDIT OR ITS AFFILIATES BE LIABLE FOR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR EXEMPLARY DAMAGES OR ANY LOSS OF PROFITS (WHETHER INDIRECT OR DIRECT), BUSINESS INTERRUPTION, LOSS OF INFORMATION, DATA, USE, GOODWILL OR ANY INTANGIBLE LOSSES OF ANY KIND INCURRED UNDER THE ADS SERVICES TERMS OR ARISING OUT OF THE USE OF THE ADS PLATFORM OR ADS SERVICES EVEN IF REDDIT SHOULD HAVE BEEN AWARE OF THE POSSIBILITY OF SUCH LOSSES ARISING; AND (II) REDDIT AND ITS AFFILIATES’ AGGREGATE LIABILITY UNDER THE ADS SERVICES TERMS OR ARISING FROM YOUR USE OF THE ADS PLATFORM OR ADS SERVICES, INCLUDING ANY SUPPLEMENTAL ADS PRODUCTS AND SERVICES, WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT PAID OR PAYABLE BY YOU TO REDDIT IN THE 90 DAYS BEFORE THE DATE OF THE ACTIVITY GIVING RISE TO THE CLAIM; OR (B) $100.

16. Reddit Contracting Entity

The Reddit entity you contract with depends on where your entity’s billing country is. The Reddit contracting entity below will bill you and provide Ads Services to you based on your billing country, and all references to “Reddit” under the Ads Services Terms will correspond to that Reddit contracting entity.

17. Governing Law

The governing law of the Ads Services Terms depends on where your entity’s billing country is as follows:

In each case, governing law applies excluding any conflict of laws rules under the applicable laws.

18. Arbitration and Dispute Resolution

All claims, disputes, or controversies (excluding claims for injunctive or other equitable relief)  arising out of or in connection with the Ads Services or the Ads Services Terms (“Disputes”) will be settled by binding arbitration. Administration of arbitration varies based on your entity’s billing country as follows:

Regardless of the applicable arbitration tribunal (including its rules) and venue, all arbitration under the Ads Services Terms will be: (i) conducted in English; (ii) administered by one arbitrator appointed in accordance with the applicable arbitration tribunal rules; and (iii) except as required by applicable law, kept confidential (including the existence of, the proceedings of, any submissions or other materials relating to, and any decisions made during the arbitration).

YOU UNDERSTAND AND AGREE THAT YOU AND REDDIT MAY EACH BRING DISPUTESCLAIMS IN ARBITRATION AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT ON A CLASS, COLLECTIVE ACTION, OR REPRESENTATIVE BASIS (“CLASS ACTION WAIVER”). YOU UNDERSTAND AND AGREE THAT YOU AND REDDIT BOTH ARE WAIVING THE RIGHT TO PURSUE OR HAVE A DISPUTE RESOLVED AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING.

You may opt out of the arbitration provisions in this Section 18 (Arbitration and Dispute Resolution) within 30 days of first acceptance of any version of this Agreement containing arbitration provisions by completing this form. 

Nothing in this Section 18 (Arbitration and Dispute Resolution) prevents either party from seeking injunctive or equitable relief for matters relating to confidentiality, data security, intellectual property or unauthorized use of the Ads Services or Ads Platform or from bringing an individual action in small claims court (provided that the arbitrator will have exclusive jurisdiction to finally resolve claims not within the jurisdiction of the small claims court).

If you opt out of arbitration in accordance with the requirements of this Section 18 (Arbitration and Dispute Resolution) or this arbitration agreement otherwise does not apply, all claims and disputes (whether contract, tort, or otherwise), including statutory claims and disputes, arising out of or relating to the Ads Services Terms or the use of the Ads Services will be litigated exclusively in the following courts based on your billing country:

19. Termination

Either you or Reddit may terminate the Ads Services Terms at any time upon written notice to the other party. If you continue to access or use the Ads Platform or Ads Services though, your access and use will remain subject to the Ads Services Terms, and you agree to the Ads Services Terms. 

Sections 6 (Charges and Payment), 7 (Intellectual Property and Feedback), 10 (Beta Products and Services), 11 (Confidentiality), 13 (Disclaimer), 14 (Indemnification), 15 (Limitation of Liability), 16 (Reddit Contracting Entity), 17 (Governing Law), 18 (Arbitration and Dispute Resolution), 19 (Termination), 20 (Miscellaneous), 21 (Changes to the Ads Services Terms), and 22 (Supplemental Ads Products and Services) of this Agreement, your payment obligations (including under Section 6 (Charges and Payments)), and your obligations under any applicable Supplemental Ads Terms will survive termination.

20. Miscellaneous

If any provision of the Ads Services Terms or the application of any provision of the Ads Services Terms is held to be contrary to law, invalid or unenforceable, that provision will be given effect to the greatest extent possible, and the remaining provisions of the Ads Services Terms will remain in full force and effect.

The failure to exercise or enforce any right or provision of the Ads Services Terms will not operate as a waiver of such right or provision, except as expressly stated in the Ads Services Terms.

Your access and use of the Ads Services and your acceptance of the Ads Services Terms does not constitute an agency, partnership, or joint venture between you and Reddit. Unless expressly stated, the Ads Services Terms do not confer any benefits on any third party.

All notices must be in writing and will be effective upon receipt. You agree to receive legal notices at the email address you provided in your Ads Account. Notices sent to Reddit must be emailed to legal@reddit.com.

Reddit may assign any of its rights and obligations under the Ads Services Terms. You may not assign any of your rights or obligations under the Ads Services Terms to any third party without Reddit’s prior written consent. Any assignment, delegation, or transfer in violation of this paragraph is void.

If the Ads Services Terms are translated into a language other than English, the translation is for convenience only, and the English language version will govern.

Headings are used in the Ads Services Terms for reference only and will not be considered when interpreting them. For purposes of the Ads Services Terms: (i) the words “include,” “includes,” and “including” will be deemed to be followed by the words “without limitation;” (ii) the words “such as,” “for example,” “e.g.,” and any derivatives of those words will mean by way of example and the items that follow these words will not be deemed an exhaustive list; and (iii) the word “or” is used in the inclusive sense of “and/or” and the terms “or,” “any,” and “either” are not exclusive. No ambiguity will be construed against any party based on a claim that the party drafted the language.

21. Changes to the Ads Services Terms

Reddit may change the Ads Services Terms, including any Supplemental Ads Terms, with reasonable advance notice of material changes. However, no advance notice will be required for immaterial changes. Reddit may require that you accept the revised Ads Services Terms in order to continue to use the Ads Services. If you do not agree to the revised Ads Services Terms, then you should discontinue your use of the Ads Services.

Except as expressly permitted in this Section 21 (Changes to the Ads Services Terms), the Ads Services Terms may be amended only by a written agreement signed by both parties.

22. Supplemental Ads Products and Services

You may choose to use certain products, services, features, and tools made available by Reddit when using the Ads Platform or Ads Services that supplement our Ads Platform or Ads Services (collectively, “Supplemental Ads Products and Services”). Reddit may modify, suspend, terminate access to, or discontinue the availability of any Supplemental Ads Product and Service at any time in its sole discretion. If you choose to use any Supplemental Ads Products and Services, then you understand and agree that your use of any Supplemental Ads Products and Services may be subject to specific terms and policies, and your continued use of any Supplemental Ads Product and Services indicates your acceptance of such terms and policies (collectively, “Supplemental Ads Terms”).
