Reddit Creative Services Terms

These Reddit Creative Services Terms (“Creative Services Terms”) apply whenever Reddit provides you with Creative Services (defined below). These Creative Services Terms are incorporated into the Reddit Advertising Services Agreement and are subject to all terms and conditions, policies, rules, and other provisions in the Ads Services Terms. Any terms that are capitalized but not defined in these Creative Services Terms are defined in the Ads Services Terms. In the event of conflict between any other terms in place between you and Reddit, these Creative Services Terms will prevail in relation to their subject matter, unless otherwise expressly agreed between the parties in writing.
ARBITRATION NOTICE: YOU ARE BOUND BY THE ARBITRATION PROVISION SET FORTH IN THE REDDIT ADVERTISING SERVICES AGREEMENT. YOU ARE REQUIRED TO USE BINDING INDIVIDUAL ARBITRATION TO RESOLVE ANY DISPUTES RATHER THAN JURY TRIALS OR CLASS ACTION. UNLESS YOU OPT-OUT PURSUANT TO SECTION 18 OF THE REDDIT ADVERTISING SERVICES AGREEMENT, YOU AND REDDIT WAIVE ANY RIGHT TO RESOLVE DISPUTES IN A TRIAL, CLASS-ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
1. Creative Services
From time to time, and at your election in connection with your advertising on the Reddit Properties, Reddit may provide you with certain creative services, which may include high-level strategy and insights, promotions, custom features, the creation of new Ads or Ads Materials and the modification of your existing Ads or Ads Materials for your use on the Reddit Properties (the “Creative Services”).
For the purposes of these Creative Services Terms, “Deliverables” means any and all ideation of the Creative Services including all pitches, copy, layouts, presentations, storyboards, artwork, documents, and any other work product, in any media, created in the course of providing the Creative Services.
2. Creative Brief and Approvals
Prior to use, you and Reddit will agree to the usage period and additional specifications and requirements for the Deliverables in writing (email acceptable, unless Reddit elects otherwise) (the "Creative Brief") .
You will be provided with no more than 2 rounds of review and approval of any Deliverables. Such approvals must not be unreasonably withheld or delayed and must be received promptly within the agreed timelines. You will be liable for any delays in production or reasonable increases in cost caused by your failure to provide feedback or approvals within the required period. The final version of Deliverables which you approve for use pursuant to these Creative Services Terms will be referred to as “Approved Deliverables”.
You will be fully responsible for ensuring the completeness and accuracy of all information and any accompanying claims made and/or disclaimers required under applicable law, regulation, or industry standard in the Approved Deliverables before you use them in your Ads and Ads Materials.
3. Third-Party Materials
Upon request, Reddit may include materials which are authored, created, or performed by a third party or any other third-party intellectual or proprietary rights of any kind in the Deliverables (“Third Party Materials”). You are responsible for obtaining all necessary consents, clearances, permissions, licenses, and usage rights for the inclusion and use of Third-Party Materials under these Creative Services Terms. This includes: (i) the right to use the name, likeness, voice, biography, and any other personal information of any individual whose voice is distinctly audible or whose image is distinctly visible in any Deliverable; and (ii) any intellectual property licenses including trademark licenses, copyright licenses, clip licenses, or music licenses (together with any music publishing and synchronization rights). You are responsible for any royalties or other payments required in connection with these rights and licenses.
4. Ownership
Advertiser owns all right, title, and interest in and to: (i) Ads and Ads Materials it has independently created; and (ii) any Advertiser trademarks, logos, service marks, or other intellectual property owned by Advertiser provided to Reddit or approved for use in accordance with these Creative Services Terms (collectively, the “Advertiser Property”).
Reddit owns all right, title, and interest in and to the Deliverables (excluding any Advertiser Property and Third-Party Materials).
Except as expressly granted in these Creative Services Terms, neither party will acquire any right, title, or interest in or to the other party’s intellectual property.
5. License to Advertiser Property
Advertiser hereby grants to Reddit, a limited, irrevocable (except in the event of Reddit’s uncured material breach), non-exclusive, non-transferable, and royalty-free license and right to use, modify, make derivative works from, and display the Advertiser Property (and any Third-Party Materials) in connection with the development, production, promotion and distribution of the Deliverables in accordance with the agreed Creative Brief (and thereafter, in a historical context, for Reddit’s own promotional purposes).
6. License to Approved Deliverables
Subject to Advertiser’s compliance with these Creative Services Terms, Reddit grants to Advertiser a limited, revocable, non-exclusive, non-transferable and non-sublicensable license to use the Approved Deliverables solely on the Reddit Properties in accordance with the agreed Creative Brief. Advertiser may only use the Approved Deliverables beyond the scope of this license or create any modifications or derivative works of the Approved Deliverables with Reddit’s separate prior written consent.
For the avoidance of doubt, Advertiser will not have the right to use Deliverables (save for its rights in any Advertiser Property or Third-Party Rights in those Deliverables), other than the Approved Deliverables and Advertiser’s right to use the Approved Deliverables will immediately cease on termination of a Creative Brief or at the end of the agreed usage period.
7. Promotions
Where the Deliverables involve or refer to a contest, sweepstakes, or other similar promotion (a “Promotion”), you are responsible for running the Promotion, you must ensure that you have the necessary permits and licences required to run the Promotion, and that the Promotion complies with applicable laws and our promotions guidelines.
8. Cancellation and Termination
Unless otherwise stated in an applicable Creative Brief, you may cancel a Creative Brief (or any part of it) on 30 days’ prior written notice to Reddit, but you may be responsible for any costs Reddit incurs in connection with such Creative Brief if Reddit is not able to recoup or cancel such costs.
Reddit may cancel a Creative Brief (or any part of it): (i) on 30 days’ prior written notice; or (ii) immediately, if you are in breach of these Creative Services Terms.
For the avoidance of doubt, cancellation of a Creative Brief does not terminate any other agreement between the parties, including any other Ads Services Terms.
9. Vendors
From time to time, we may refer you to one of our approved creative vendors in order for you to consider the provision of certain creative services by them directly to you. Reddit accepts no responsibility for the vendor or its provision of services to you.
10. Confidentiality
The Deliverables (other than any Advertiser Property or Third Party Materials) are Reddit’s Confidential Information. You agree not to copy, reproduce, distribute, publish, modify, adapt, or disclose the Deliverables except as authorized pursuant to these Creative Services Terms or as otherwise separately agreed by Reddit in writing.
11. Liability
Reddit represents and warrants that, other than in relation to any Advertiser Property and Third-Party Materials: (i) the Approved Deliverables, as provided to Advertiser, will not infringe any third-party intellectual property or other proprietary right; and (ii) it has all necessary rights and consents to grant the licence to the Approved Deliverables set out in Section 6 (License to Approved Deliverables) above.
You acknowledge and agree that your representations, warranties, and indemnity obligations in relation to your Ads and Ads Materials under the Ads Services Terms extend to your use of any Approved Deliverables and Third-Party Materials within your Ads or Ads Materials pursuant to these Creative Services Terms. This includes ensuring that your Ads and Ads Materials, regardless of whether any elements of those Ads and Ads Materials have been developed pursuant to the Creative Services: (i) comply with applicable law, regulation, code of practice or other industry standards: and (ii) include any appropriate disclaimers.
12. Disclaimer
Nothing in these Creative Services Terms will prevent Reddit from entering into similar agreements with third parties, or from developing, using, selling or licensing products and / or services which are similar to those provided to you under these Creative Services Terms.
To the maximum extent permitted by applicable law, in no event will Reddit or its affiliates’ liability to you for the Creative Services exceed the greater of: (i) $500; or (ii) the amount you paid to Reddit for the applicable Deliverables as set out in the Creative Brief.
